By downloading, installing, or using the Handled application and related services ("App") provided by Handled ("we", "us", "our"), you agree to be bound by this End User License Agreement ("EULA") and our Privacy Policy. If you do not agree, do not use the App.
Subject to your compliance with this EULA, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the App for your personal, non-commercial, family coordination purposes. You may not copy, modify, distribute, sell, or lease any part of the App, nor reverse-engineer or attempt to extract source code, except as permitted by law.
You must be at least 18 years old (or the age of majority in your jurisdiction) to use the App. You are responsible for maintaining the confidentiality of your account and password and for all activity under your account. You must provide accurate information and notify us of any unauthorized use.
Access to the App may require a subscription after a free trial. By subscribing:
You agree not to use the App to violate any law, infringe others' rights, transmit harmful or offensive content, attempt to gain unauthorized access to our or others' systems, or use the App for any purpose other than family coordination. We may suspend or terminate your access for violation of these terms.
You retain ownership of content you submit (e.g. events, tasks, family data). You grant us a license to use, store, and process that content to provide and improve the App. You represent that you have the right to share such content with us and with other family members you invite within the App.
THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE APP WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. WE ARE NOT RESPONSIBLE FOR THE ACCURACY OR RELIABILITY OF USER-GENERATED CONTENT (E.G. EVENT TIMES, REMINDERS). USE OF THE APP IS AT YOUR SOLE RISK.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, HANDLED AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE APP, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED U.S. DOLLARS ($100), WHICHEVER IS GREATER. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS; IN SUCH CASES, OUR LIABILITY IS LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.
You agree to indemnify and hold harmless Handled and its affiliates from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the App, your content, or your violation of this EULA or any law.
We may terminate or suspend your access at any time for breach of this EULA or for any other reason. You may stop using the App and delete your account at any time. Upon termination, your license to use the App ends. Provisions that by their nature should survive (e.g. disclaimers, limitation of liability, indemnification) will survive.
We may update this EULA from time to time. We will post the updated EULA and may notify you via the App or email. Continued use after changes constitutes acceptance. If you do not agree, you must stop using the App.
This EULA is the entire agreement between you and Handled regarding the App and supersedes any prior agreements. It is governed by the laws of the United States and the State of Delaware, without regard to conflict of law principles. Any dispute shall be resolved in the courts of that jurisdiction. If any provision is held unenforceable, the remaining provisions remain in effect. Our failure to enforce any right does not waive that right.
